Riddhess Infotech & Agro Pvt. Ltd. provides multi-vertical business and infrastructure solutions: - **Technology & Software Solutions:** Development, licensing, hosting, and maintenance of custom web/mobile applications, ERPs, CRMs, POS software, AI/ML automations, and cloud systems under specific Statements of Work (SOW) or Service Agreements. - **RI Pay Payment Infrastructure:** Digital payment gateway, UPI collections, QR payments, Smart Android POS integration, payout disbursements, and settlement management facilitated in collaboration with authorized banking and payment aggregation partners. - **Energy & Fuel Infrastructure:** Door-to-door commercial diesel delivery, mini fuel pump installation consultancy, fleet card management systems, and industrial oil supplies, subject to local regulatory approvals and safety clearances.

Users must be legally competent entities or individuals registered under applicable Indian laws. - Merchants utilizing RI Pay or fuel credit facilities agree to provide valid KYC documentation including GSTIN, PAN, Bank Verification proofs, and Authorized Signatory IDs. - You agree that all information submitted is true, accurate, and current. Submitting false credentials will result in immediate termination of access and reporting to appropriate authorities.

- **Software Projects:** Invoices are payable according to agreed milestone schedules. Late payments may result in suspension of system access or delivery pauses. - **RI Pay Settlements:** Transaction amounts collected via RI Pay will be settled to the merchant's designated bank account in accordance with the agreed settlement cycle (e.g., T+1 / T+2 days), less applicable MDR/transaction fees and GST. - **Chargebacks & Disputes:** Merchants are liable for chargebacks, fraudulent transactions, or customer disputes initiated against their accounts in accordance with RBI and card network rules. - **Fuel Invoicing:** Industrial fuel supply and fleet transactions are invoiced based on certified meter deliveries and prevailing daily pricing, payable under established credit or advance terms.

All proprietary software codes, algorithms, logos, trademarks, visual UI designs, and documentation owned by Riddhess Infotech & Agro Pvt. Ltd. remain the exclusive intellectual property of the Company. Clients receive a non-exclusive, non-transferable license to use custom deliverables as defined in their individual service agreements.

- All fuel handling, storage, and dispensing infrastructure solutions strictly adhere to safety guidelines and petroleum regulatory norms (PESO / state fire & safety standards). - Payment processing strictly adheres to Reserve Bank of India (RBI) directives, Prevention of Money Laundering Act (PMLA), and NPCI guidelines.

To the maximum extent permitted by applicable law, Riddhess Infotech & Agro Pvt. Ltd. shall not be liable for indirect, incidental, punitive, or consequential damages resulting from network downtimes, third-party banking gateway delays, power outages, or force majeure events. Our cumulative liability shall not exceed the fees paid by the client in the preceding three months for the specific service under dispute.

We reserve the right to suspend or terminate service agreements immediately in the event of material breach of terms, fraudulent activities, non-payment, or directives issued by government/regulatory agencies. Upon termination, outstanding dues must be settled immediately.

This Agreement shall be governed by and construed in accordance with the laws of India. Any legal disputes or claims arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the competent courts located in North 24 Parganas / Kolkata, West Bengal.
